Podcast guest terms (Retooled)

This section applies when you schedule a Retooled recording, including through our booking page or Cal.com, or appear as a guest. Scheduling a recording confirms that you have read and agree to it.

1. Consent to record

You consent to lilAgents recording your appearance in audio and video, and to any other part of the conversation we tell you is being recorded. We tell you before recording starts.

2. Who owns the recording

lilAgents owns the recording, the published episode, and everything we make from it, including edits, clips, transcripts, show notes, captions, thumbnails and summaries. Your own ideas and expertise remain yours.

3. Rights you give us

You grant lilAgents a worldwide, royalty-free, perpetual and irrevocable license to record, edit, reproduce, publish, distribute, transcribe, translate and promote your appearance, in whole or in part, in any format and on any platform or media, now known or developed later. This includes using your name, likeness, image, voice, title, company name, biography, and any logo or photo you provide, in connection with the Podcast and with promoting the Podcast and lilAgents. You will not receive payment for your appearance or for these uses.

4. Editing and publishing

We may edit your appearance for length, clarity and flow, including cutting, condensing, rearranging, adding captions or music, and creating short clips, quotes, transcripts, summaries and other derived content, which may be prepared with the help of software, including AI tools. We will not knowingly edit your words to change their meaning.

We decide whether, when and where to publish. We are not obligated to publish any recording, and we may remove or stop distributing an episode at any time.

5. How you can use your episode

We want you to share your episode. You may:

• Share and link to the episode, and embed it using the official players on the platforms where we publish it.
• Post clips and excerpts of your appearance on your own website and social channels, and use them to promote yourself and your business. We may also send you clips to use.
• Quote what you said on the Podcast.

When practical, please credit "Retooled, a podcast by lilAgents" and link to the episode. You may not:

• Upload, post or redistribute the full episode, or substantially all of it, anywhere other than by sharing or embedding the official version.
• Present the episode as your own production, or remove the Retooled or lilAgents name or branding from it.
• Sell, license or monetize the full episode.
• Edit clips in a way that misrepresents what you, the hosts or anyone else said.

6. What you are responsible for

You confirm that you have the right to share what you say and show on the Podcast, and that it does not include confidential information, trade secrets or private information about other people that you are not authorized to share. What you say reflects your own views. If your industry or employer requires compliance review or approval of public appearances or communications, such as financial services, legal or healthcare, you are responsible for getting it.

7. Release

To the fullest extent permitted by law, you release lilAgents, its owners, team, contractors and the platforms that carry the Podcast from any claims arising from recording, editing, publishing, distributing or promoting your appearance in line with these Terms. This includes claims for defamation, invasion of privacy, false light, misappropriation of name or likeness, right of publicity, and infringement based on your own contributions.

You agree to indemnify lilAgents against third-party claims that arise from something you shared on the Podcast that you did not have the right to share.

8. Concerns before an episode goes live

If you are concerned about something you said, tell us before the episode is published at support@lilagents.com. We will consider your request in good faith. Final decisions about editing and publishing are ours.

9. Scheduling

We may reschedule or cancel a recording, or decline to record or publish, at our discretion. Booking a time does not guarantee that an episode will be published.

Using the Site

You may use the Site for your own lawful purposes. You agree not to misuse it, including by trying to disrupt it, gain unauthorized access to it, or submit false or harmful information through its forms.

The Site's content, including its text, design, graphics, logos, case studies, tools and code, belongs to lilAgents or is used with permission. You may share links to it. You may not copy, republish or sell substantial parts of it without our written permission.

Free tools, audits, articles and other content on the Site are general information, not professional, legal, financial or technical advice for your situation. Results described in case studies reflect specific clients and circumstances and are not a promise of results for you.

The Site links to and embeds third-party services, including Cal.com for scheduling and platforms that host the Podcast. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them. How we handle your information is covered in our Privacy Policy.

Liability and legal terms

No warranties

The Site and the Podcast are provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by law.

Limitation of liability

To the fullest extent permitted by law, lilAgents is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from the Site, the Podcast or these Terms. Our total liability for any claim under these Terms is limited to one hundred US dollars ($100). This does not limit liability that cannot be limited by law, and it does not change the terms of a separate client agreement.

Governing law

These Terms are governed by the laws of the State of Washington, without regard to its conflict of laws rules. Any dispute arising from them will be resolved in the state or federal courts located in King County, Washington, and you consent to their jurisdiction.

Other terms

If any part of these Terms is found unenforceable, the rest remains in effect. Our not enforcing a term is not a waiver of it. The podcast guest terms survive after your recording and after the episode is published.

Changes to these terms

We may update these Terms and will post changes here with a new "Updated" date. The version in effect when you recorded governs the rights granted for that recording.
